Service Agreement

Terms governing the use of Argonar System services

1 Acceptance of Terms

By creating an account and using Argonar System ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Service.

Important: Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the modified Terms.

2 Description of Service

Argonar System is a comprehensive loan management system designed for cooperatives, lending companies, and microfinance institutions in the Philippines. Our platform enables organizations to:

  • Manage borrower information, profiles, and loan applications
  • Track loan disbursements, amortization schedules, and payment collections
  • Process and record payments with automated penalty calculations
  • Generate detailed reports, analytics, and collection sheets
  • Manage organizational users with role-based access control
  • Handle cooperative-specific features like share capital and savings
  • Provide borrower portal access for self-service account viewing

3 Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete registration information
  • Be duly authorized to represent your organization
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Be at least 18 years old or the legal age of majority in your jurisdiction

You are responsible for all activities that occur under your account.

4 Subscription Plans & Payments

Our Service offers various subscription plans with different features and limits:

  • Free Trial: New organizations receive a 3-day free trial of the Starter plan for evaluation purposes
  • Paid Plans: Starter, Basic, Professional, and Enterprise tiers with different limits and features
  • All subscription fees are billed on a monthly basis. There is no annual billing cycle.
  • Installment payment options (up to 3 installments per month) may be available for qualifying plans
  • Plan upgrades take effect immediately upon successful payment
  • Downgrades take effect at the end of the current billing period
  • All payments are non-refundable unless otherwise required by applicable Philippine consumer protection laws
  • Failure to pay within 7 days of the due date (grace period) may result in account suspension and loss of access to all features
  • Outstanding installment obligations remain enforceable even if the Service is downgraded or access is suspended
  • Argonar Software OPC reserves the right to modify pricing at any time with 30 days advance notice to affected subscribers

5 User Responsibilities

As a user of the Service, you agree to:

  • Use the Service only for lawful purposes and in compliance with Philippine laws
  • Comply with all applicable lending regulations, including BSP circulars if applicable
  • Maintain accurate and complete records of all financial transactions
  • Protect the confidentiality and privacy of borrower information
  • Not share account credentials with unauthorized persons
  • Not attempt to reverse engineer, hack, or disrupt the Service
  • Not use the Service for fraudulent, predatory, or illegal lending activities

6 Data Privacy

Your use of the Service is also governed by our Privacy Policy, which complies with the Data Privacy Act of 2012 (R.A. 10173). By using the Service, you consent to the collection, processing, and use of information as described in the Privacy Policy.

You are responsible for ensuring that your collection and processing of borrower data through our Service complies with applicable data protection laws.

7 Intellectual Property

The Service, including but not limited to all software, source code, algorithms, databases, user interfaces, design elements, graphics, trademarks, trade names, logos, and documentation, is the exclusive property of Argonar Software OPC and is protected by the Intellectual Property Code of the Philippines (R.A. 8293), copyright, trademark, trade secret, and other applicable intellectual property laws and international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your organization's internal business purposes during your active subscription. This license does not grant you any right to:

  • Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service
  • Create derivative works based on the Service
  • Distribute, sublicense, sell, lease, rent, or transfer the Service or access thereto to any third party
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Use the Service to develop a competing product or service
  • Scrape, crawl, or extract data from the Service by automated means

All data you input into the Service remains your property. However, you grant Argonar Software OPC a limited license to process, store, and backup such data solely for the purpose of providing the Service.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Argonar Software OPC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, punitive, or consequential damages of any kind, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill
  • Damages arising from service interruptions, errors, omissions, delays, or defects, whether caused by negligence or otherwise
  • Actions taken or not taken based on information, computations, projections, or reports generated by the Service
  • Third-party claims arising from your use of the Service or your organization's lending activities
  • Your lending decisions, loan approvals, borrower defaults, or any financial losses from lending operations
  • Loss, corruption, or unauthorized access to data resulting from factors beyond our reasonable control, including cyberattacks, force majeure events, or third-party service failures
  • Any liability arising from your failure to maintain adequate security of your account credentials

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO Argonar Software OPC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

8a Indemnification

You agree to indemnify, defend, and hold harmless Argonar Software OPC, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Any content, data, or information submitted by you through the Service
  • Your organization's lending practices, collection activities, or interactions with borrowers

9 Service Availability

We strive to maintain 99.9% Service availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for:

  • Scheduled maintenance and system updates
  • Emergency security patches
  • Infrastructure upgrades
  • Circumstances beyond our reasonable control

We will provide advance notice of scheduled maintenance when possible.

10 Termination

We reserve the right to immediately suspend or terminate your account, without prior notice or liability, for any of the following reasons:

  • Violation of these Terms and Conditions or any applicable law or regulation
  • Non-payment of subscription fees beyond the 7-day grace period
  • Fraudulent, abusive, predatory, or illegal lending activities
  • Actions that harm, disrupt, or endanger other users or the Service infrastructure
  • Unauthorized access attempts, security breaches, or hacking activities
  • Use of the Service for money laundering, terrorist financing, or other criminal purposes
  • Extended period of inactivity exceeding 12 months (accounts may be archived and data deleted)
  • Providing false or misleading registration information

Upon termination, you may request export of your data within 30 calendar days by contacting us in writing. After this period, Argonar Software OPC is under no obligation to retain your data and may permanently and irrevocably delete all associated information. No refunds will be issued for any remaining subscription period.

Sections regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination of these Terms.

11 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation under the Philippine Mediation Center
  3. Arbitration or litigation in the courts of competent jurisdiction in the Philippines
